Alaska Air: Circling Over The America West Deal

A third airline may yet join the America West Holdings-US Airways (UAIRQ ) party. On May 19, the two airlines announced final plans to merge and form a new company of which America West (AWA ) shareholders would own 45%. Analysts put the value of the deal at $6 per America West share. Now some pros close to the industry say Alaska Air Holdings (ALK ), which owns Alaska Airlines, may make a bid to buy AWA, without disturbing the proposed merger, leaving Alaska the bigger shareholder in the new merged company. Vincent Carino, president of Brookhaven Capital Management, which owns AWA and Alaska shares, says: "Alaska's top management is considering a move to buy America West to gain critical mass and to better compete in the fiercely competitive industry -- and avoid being a takeover target itself." One major West Coast airline analyst, who didn't want to be named, says it would be "a great deal." Alaska's management "is capable of doing it -- and it should," he says. Alaska's market cap is $780 million, vs. AWA's $107 million. Alaska's stock is up from 18 last Aug. 9 to 28 on June 1. Carino says Alaska could use its stock as currency to buy AWA, now 5.72 a share, possibly at 7 a share. Alaska declined comment; AWA didn't return calls.

AS could really put a wrench in the works. So let me get this straight. HP will buy US but keep the US name. Then AS is going to but out the merged HP/US. Then WN can step in and buy the merged AS/HP/US and eliminate about 30% of their competition. Then TED will buy them out and so on and so on and so on...........

I would say AS's involvement would blow Airbus out of the water. AS is a Boeing company, through and through... hometown roots and all.

Is Horizon a wholly owned subsidiary of Alaska Airlines? Horizon loves their Q400s.

Yeah, and UAL was actually PART of Boeing... Money talks. Did you forget all the psuedo-Boeing in AS's fleet? (Maddogs)

Oh my, would I love to see AS take over the whole darn thing. Of course there still wouldn't be a mid-continent hub. Time to go dig up the route map of AS and HP I made once upon a time.

USA320Pilot comments: I do not follow every airline in the industry and I certainly do not know what occurs on a daily basis in any “executive suiteâ€. I am only interested in what happens to US Airways and its employees and closely follow the company.

I talk to as many people as possible that includes labor leaders, middle management, senior management, analysts, news media personnel, and industry observers. I hear different things and then Iâ€connect the dotsâ€. Sometimes I know exactly what is happening and something I do not. Moreover, what is true today may change tomorrow, which regularly happens in a dynamic, fluid industry.

In regard to Alaska, let’s not get too hung up over this. Alaska may make a bid and they may not.

Major problems I see are US Airways and America West moving towards an all Airbus fleet, the age of US Airways’ and America West’s Boeings, a 3-way merger between 3 companies that are largely regionalized, 3 corporate structures, and a resultant high-cost structure.

US Airways tried the 3-way regionalized merger already, which is the Arlington-based carrier’s Achilles heal even today. An America West, US Airways, Alaska merger would create the world’s largest regional airline with the highest cost structure and in my opinion, would fail again.

P.S. US Airways and America West have regularly briefed the ATSB as their discussions unfolded and I understand the DOJ and DOT have given their "wink of approval" through the ATSB for the merger to proceed.

Funny US nor HP have filed a merger review with the DOT and DOJ yet and the ATSB is part of the Treasury Department, not Justice or Transportation.

Looks like someone is making things up once again.
