Actually the official written testimony of J. Ward - APFA - and AA to Congress very clearly labeled it a merger. The documents were titled MERGER. Its official; get over it.

John Ward's use of the word "merger" does not transform an asset purchase into a merger, regardless of where he said it.

To which "documents" do you refer? On March 12, 2001, the bankruptcy court approved an Asset Purchase Agreement, not a merger agreement:

On March 12, 2001, this Court approved an Asset Purchase Agreement (“APAâ€￾) between TWA and American that effected a sale of substantially all of TWA’s assets to American. (Doc. # 5847, p. 2).

The bankruptcy court was consistent in discussing AA's plan as an asset purchase. For example:

The transaction was factually, legally and functionally an asset purchase, and not a merger, no matter how many times you post otherwise.
 
I also forgot to add one very important point in my previous post. By law, mergers have to be voted on by shareholders of both companies. I have owned AMR stock since the mid 1990s and have never received any voting materials pertaining to a merger with TWA.
 
One of the two airlines that was not forced in to bankruptcy. An airline ending the quarter with with 4 billion cash on hand and several billion more to draw on if needed. I would say this airline has a strong financial and management team.


Yes, with tons of debt and pension obligations.. Sell it to someone that will actually buy it... Since you have money flowing from the pores, maybe you can explain why your fabulous management team raped you outside of BK court, and won't negotiate your "industry leading" contract???? Don't dis em in one thread and praise em in another, get it straight.

We all know it was an acquisition.... Your statement that it was a merger really makes you look dilutional.
Read Brundage's testimony.... That's how it really happened. So well said and so true.
 
Have it your your way. You have not read J. Ward's account so you really are grossly ignorant of all the facts. My statement that it was a merger is "dilutional" just marks you as someone who cannot spell showing your ignorance, someone who has no understanding of the meaning of the the word and as someome who attacks others for their views. As I said above, you are just one of the small group of AA people who continue their hateful diatribes against TWAers.

You are dead wrong... I happen to like many of my F/A co-workers from TWA......
but the TWA people need to know their places in this company.... Accept it or move on.... It's the way it is.... Oh did you read Brundage's testimony... He's management btw

The TWA people need to know their places within the company? And exactly who are you to determine and dictate other people's places at AA? Accept it or move on? And who are you to dictate what others should accept? Maybe others do not accept injustice. Last I heard we live in a democracy not a dictatorship where others decide what beliefs they may accept or hold. It is not up to you, be very clear with that.
 
In case YOU hadnt noticed all airlines are basically sinking ships. Part of that comes from the 911 disaster and the bush depression. The other part is from the government allowing bankrupt carriers discharge debt and then continue to operate.

The reality of the situation in this industry is that everyone was going to have to take cuts to survive. I am not sure I understand how taking them with outside of a bankruptcy court is some how a bad thing.
 
We were forced inside a BK court, and then stripped of pay and pension. You guys just handed it over.
What a shame, we still have fully funded pensions and pay rates higher than yours. Now see the advantage?

Well, i guess its all in how you look at it, your work rules suck, and work rules = pay.. Pay you can negotiate back, work rules, not as easily. But hey, why buy the cow when you get the milk for free right?? No doubt we had to give up ALOT, but it was by force, not threats (See the difference)?

No we also have better work rules. I wouldnt trade them for any other carrier. I see the difference is better pay, better work rules and pension that is still growing.


Now lets get back on topic. Why was Arpey in MSP?
